1. Introduction
By accessing or using the website or services of Fast Mile Sourcing Ltd (“Fast Mile”, “we”, “us”, or “our”), you acknowledge and accept these Terms and Conditions (“Terms”). If any part of these Terms does not align with your expectations, we kindly ask that you contact us before proceeding with our services.
2. Scope of Services
Fast Mile Sourcing Ltd provides sourcing, supplier management, project coordination, quality assurance, and logistics facilitation services. We act as an intermediary, connecting clients with independent third-party manufacturers and logistics providers. While we exercise due diligence in managing these relationships, Fast Mile is not liable for any act, delay, or omission by third parties beyond our control.
3. Quotations and Orders
Quotations are valid for thirty (30) days unless otherwise stated.
An order or acceptance referencing the quotation number confirms agreement to these Terms.
Fast Mile reserves the right to decline any order that does not meet our compliance or sourcing standards.
4. Payments
Unless otherwise agreed in writing:
A 50% deposit is required to begin any order or project.
The remaining 50% is due upon completion or delivery.
All payments must be made in Kenyan Shillings (KES) to bank accounts designated by Fast Mile Sourcing Ltd.Late or missed payments may result in suspension or cancellation of services.
5. Cancellations
Clients may cancel an order within forty-eight (48) hours of confirmation for a full refund of the deposit, provided no costs have been incurred.
Cancellations made after this period may be subject to deductions for any work completed or supplier commitments already made.
6. Quality and Inspection
Fast Mile conducts inspections and quality control based on the scope agreed upon with the client.
Our responsibility is limited to the accuracy of inspections carried out within those terms.
Clients acknowledge that variations in product outcomes may occur due to factors outside our control during manufacturing or shipping.
7. Third-Party Suppliers and Liability
Fast Mile shall not be held responsible for:
Production or delivery delays caused by suppliers or logistics providers.
Loss, damage, or defects occurring during shipping.
Any negligence or breach by third-party partners.
Our total liability is limited to the total amount paid for the specific project giving rise to a claim.
We are not liable for indirect or consequential losses, including lost profits or business opportunities.
8. Confidentiality
We maintain strict confidentiality of all client information, including supplier data, pricing, designs, and trade secrets.
No such information shall be disclosed to third parties without written consent, except where required by law.
9. Intellectual Property
All intellectual property (IP) provided by the client, including logos, trademarks, and product designs, remains the sole property of the client.
Fast Mile will not use or share client IP beyond the agreed scope of services.
All methodologies, systems, and documentation developed by Fast Mile remain our exclusive property.
10. Termination
Either party may terminate an agreement with seven (7) days’ written notice.
Upon termination:
Any outstanding invoices must be settled immediately.
Work completed to date will be billed proportionally.
Both parties shall return or destroy confidential materials upon request.
11. Dispute Resolution
In the event of a dispute, both parties shall first attempt to resolve the matter amicably.
If unresolved, the matter shall be referred to arbitration in accordance with the Arbitration Act (Cap. 49, Laws of Kenya), with proceedings held in Nairobi.
The arbitrator’s decision shall be final and binding.
12. Governing Law
These Terms shall be governed by and interpreted under the laws of the Republic of Kenya.
13. Force Majeure
Fast Mile shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, strikes, government restrictions, war, or logistical disruptions.
14. Amendments
We may update these Terms from time to time. The most recent version will be published on this page with the updated “Last Updated” date. Continued use of our website or services will constitute acceptance of the revised Terms.
